On March 18, 2024, the New York Stock Exchange (the “NYSE”) notified The Chemours Company (the “Company”) that it is not in compliance with Section 802.01E of the NYSE Listed Company Manual as a result of its failure to timely file its Annual Report on Form 10-K for the year ended December 31, 2023 (the “Form 10-K”). In accordance with the NYSE Listed Company Manual, the Company has contacted the NYSE to discuss the status of its Form 10-K filing.
On March 18, 2024, the Company issued a press release with respect to the receipt of the notice of noncompliance from the NYSE. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Chemours Receives NYSE Notice Regarding Delayed Form 10-K Filing
Wilmington, Del., March 18, 2024 On March 18, 2024, The Chemours Company (Chemours or the Company) (NYSE: CC) received notice from the New York Stock Exchange (the NYSE) that the Company is not in compliance with Section 802.01E of the NYSE Listed Company Manual due to a delay in filing its Annual Report on Form 10-K for the year ended December 31, 2023, with the Securities and Exchange Commission (the SEC).
The NYSE informed the Company that, under the NYSEs rules, the Company will have six months from March 15, 2024 to file the Form 10-K with the SEC. The Company can regain compliance with the NYSE listing standards by filing the Form 10-K with the SEC before such date.
As previously disclosed in the Companys Form 12b-25 filed with the SEC on February 29, 2024, the Company needed additional time to complete its year-end reporting process, including its review of internal control over financial reporting as of December 31, 2023, and for the Audit Committee of the Board of Directors to complete a related internal review. As disclosed in a press release issued on March 6, 2024, the Audit Committee review has been substantially completed. The Company is working diligently to complete its year-end reporting process, including its review of internal control over financial reporting as of December 31, 2023, and to file its Annual Report on Form 10-K with the SEC as promptly as practicable. The Company will make a subsequent announcement to schedule the date and time of its fourth quarter and full-year 2023 earnings release and conference call.
